We would like to thank you for your support as a member of the Anaphylaxis Campaign over the past year. We will be holding our Annual General Meeting (AGM) on Wednesday 19th September 2018 at 1pm at Priory House, 25 St John’s Lane, Clerkenwell, London, EC1M 4LB to which, you are invited to attend.
At this meeting, we will be asking members to make an important decision about the future of the Anaphylaxis Campaign, to convert us into a Charitable Incorporated Organisation (CIO). The CIO structure has been introduced by the Government to streamline and modernise charities that are also limited companies can be run.
The Anaphylaxis Campaign is currently both a registered charity, and a company limited by guarantee. This means we must make returns and submit accounts on an annual basis to both Companies House and the Charity Commission, creating a larger administrative burden for the charity. In addition, our current Articles of Association oblige you, as a member, to have certain legal responsibilities, including always acting in the best interests of the charity and contributing £1 in the event of the Campaign winding up.
We are proposing converting to a CIO structure, which means we have to write and agree a new constitution to start this process. The proposed constitution not only removes all financial liabilities from you but also relieves members, other than the Trustees, of any responsibility for the charity. In legal terms, you would be defined as an ‘associate member’ under this new model. Once the conversion to a CIO is approved, we would also only be required to report to the Charity Commission and would no longer be required to report to Companies House as well, which will save time spent on administration.
